By agreeing to our use of the photograph(s) (“Footage”) by using the hashtag #sharemyPlayapic, you agree to these Terms and to comply at all times with any and all applicable laws and regulations, including those regarding copyright, trademark, and other intellectual property rights.

PLEASE READ THE TERMS CAREFULLY BEFORE AGREEING TO THE USE OF THE FOOTAGE. BY AGREEING, YOU ACCEPT, WITHOUT LIMITATION OR QUALIFICATION, ALL OF THE TERMS.

License

You hereby grant to Playa Hotels & Resorts and its affiliates, subsidiaries and licensees (collectively “Playa”) a non-exclusive, transferable, sub-licensable, royalty-free license in perpetuity to reproduce, edit, reformat, publish, broadcast, distribute and otherwise utilize, without further authorization from you and without name credit, any Footage, in any manner, anywhere in the world, as frequently as Playa determines in its sole discretion for any purpose, including, without limitation, for purposes of advertising, promotion, publicity or trade, and in any media now known or hereafter developed.

Playa shall have the unlimited right, without further authorization from you, to duplicate the Footage as needed and to alter, retouch, crop or use in composite form the Footage in any way. We may elect to display your handle or your byline when we use your Footage.

You hereby waive any claim of royalty, right, remuneration or compensation in any form for Playa’s use. You hereby release Playa, its licensee, assigns and authorized agents from any and all claims that arise out of or are in any way connected with such use. You hereby warrant and represent that you are at least 18 years of age and have the full right to contract in your own name with respect to the matters stated above.

You represent and warrant (i) that you own the copyright to such Footage and/or have acquired, have been assigned, or otherwise possess the right, license, and/or authorization to use and/or display any such Footage and are legally permitted and authorized to grant the licenses and permissions set forth in these Terms; (ii) that each individual whose image or likeness is captured in your Footage has granted you the right to use his or her image or likeness for the purposes set forth in these Terms. Otherwise, you hold the right to make such use of his or her image or likeness on the basis of your legal relationship with each such individual, including, but not limited to, your status as the individual's parent or legal guardian; and (iii) your Footage does not infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party, and does not contain any offensive, unlawful or obscene material.

You acknowledge that Playa has reasonably relied on the above representations and warranties and that you shall be responsible for and indemnify Playa against any claims and liabilities that may result from the inaccuracy of these representations or from the content of your Footage. You acknowledge and agree that Playa reserves the right at all times to remove or block any Footage that, in Playa’s reasonable opinion, is in any way harmful or objectionable.

We reserve the right to change, update, or correct any of the Terms at any time without notice by posting amended terms.
